This REPAIR & MAINTENANCE Agreement (the "Agreement") is made and entered between Barnett Pro-Maintenance, an independent company Licensed in Washington State as a Maintenance and repair firm, hereafter referred to as the "Company"....................., and _____________________________________________, hereafter referred to as the "Client". This Company is NOT a Licensed Contractor, but is Licensed in the State of Washington as a Maintenance Company. This is NOT a Bid or Contract, but is an Estimate. In consideration of the covenants and conditions hereinafter set forth, Company & Client agree as follows:
 

1. SERVICES

Company worker(s) shall perform the following services for the Client. A second page may be attached as needed.

2. TERM

This Agreement shall commence on __________, 20___ and shall finish on __________, 20__, providing no added work is requested & barring bad weather which may affect completion time. Company agrees to perform services for the Client on or before the expiration of the term set forth above. The Client may terminate the use of Company's services at any time without cause and without further obligation to Company except for payment due for services prior to date of such termination. Termination of this Agreement or termination of services shall not affect the provisions under Sections 5-11, hereof, which shall survive any termination.

4. PAYMENT

Company will be paid for Work performed under this Agreement as follows:

Estimate of Labor $_________________________ and Materials $_____________________

Total Due: $___________________

NOTICE: 50% of total estimate shall be paid up front, prior to work beginning, to cover cost of materials.
Company will submit a detailed invoice for the Work to be done prior to beginning.
Invoices shall be paid to the Company by Client as follows: 50% of labor and all of materials, prior to work beginning, balance due to be paid in full within 24 hours of completion of job.
 

5. DISCLOSURE & OWNERSHIP of Tools and Materials

a.       Client(s) are hereby notified and by signing below acknowledge that the Company is licensed in Washington State as a Maintenance & Repair business and as such is not a Licensed Contractor in general or specific for any Industry Trade which may require a specific license. The Company possesses certain equipment and/or tools that constitute a valuable, special, and unique asset. This may also include specific materials such as roofing, sheetrock, electrical, plumbing, doors, windows, paint etc. - if not paid for by the client, which belong to the Company.

b.     Client agrees that upon termination of this Agreement, Client will return to the Company all drawings, blueprints, notes, memoranda, specifications, designs, roofing, sheetrock, electrical, plumbing, doors, windows, paint etc.  and any other materials owned by the Company or deemed as non-returnable scrap. Client will not retain any such materials unless otherwise agreed to in writing.


6. MISCELLANEOUS

a.       Attorneys' Fees. Should either party hereto, or any heir, personal representative, successor or assign of either party hereto, resort to legal proceedings in connection with this Agreement or Client relationship with the Company, the party or parties prevailing in such legal proceedings shall be entitled, in addition to such other relief as may be granted, to recover its or their reasonable attorneys' fees and costs in such legal proceedings from the non-prevailing party or parties.

b.    Client is responsible for having homeowners insurance or bond if needed for any liability issues that may arise. Company will not be required to provide insurance or bond of any kind, nor will Company guarantee or stand good for poor quality or bad materials if supplied by Client. Company will Guarantee good workmanship at time of completion.
